If I were Elon, I would have a close group of associates who are not him, with the resources to (each) acquire a 5% share. Elon triggers the poison pill, and his associates buy their 5% shares. Nine of them amount to 45%. Elon then buys them out for a tidy profit (say, 10% over their costs). If the individual share prices have been discounted enough then Elon still gets a bargain (although it might result in a higher cost over his original plan).

Because Twitter is a creation of the Far Left, dedicated to tilting the debate against free speech and in favor of the globalists and socialists. The far-left progressives on the board would rather see the company crash and burn before allowing a really capable manager like Elon Musk to take it over.
